TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOMENTUM CONSULTING GROUP, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Momentum Consulting Group, LLC, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of our services, violation of these Terms, or infringement of any rights of another.
Either party may terminate a service agreement in accordance with the terms specified in that agreement. We reserve the right to terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Momentum Consulting Group, LLC is incorporated, without regard to its conflict of law provisions.
Any disputes arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise agreed in writing.
